General Terms and Conditions of Sale – Layered Goods BV

The following conditions apply to all sales, quotations and deliveries of Layered Goods BV. These are binding for both parties, to the exclusion of any other conditions of the buyer, unless accepted in writing by the seller. By placing an order, the buyer declares to be aware of these conditions and to accept them without reservation.

Layered Goods BV supplies exclusively to business customers (B2B). Agreements concluded under the operation of these conditions are subject to Dutch law. All disputes relating to this agreement will be settled by the competent court in Zwolle, unless the seller chooses to summon the buyer in its place of business, whether or not under application of the law of that country.


1. Quotations and orders

All quotations are without obligation, unless expressly agreed otherwise in writing. Seller reserves the right to refuse orders or to impose additional conditions.

Layered Goods BV does not have minimum order quantities. Every business order, regardless of size, is treated with the same care.


2. Delivery and transfer of risk

Delivery takes place at the time of transfer to the professional carrier or, if applicable, at collection or delivery to the buyer. In the case of delivery on call, the delivery date is the last day of the agreed term if the buyer remains in default.

After an agreed delivery period has expired, a subsequent delivery period of four (4) weeks automatically comes into effect.

Under- or over-delivery of up to 15% of the ordered volume is considered acceptable and does not entitle you to a discount, cancellation or compensation.


3. Cancellation and changes

Cancellations or changes to orders are not possible unless expressly agreed in writing by Layered Goods BV. Seller reserves the right to maintain full control over order processing and changes.


4. Liability and complaints

a. Complaints must be submitted to the seller in writing, with reasons and details, within 14 days of receipt of the goods, and only if the goods are still in their original condition.
b. Minor deviations in colour, size, weight, finish or design that are customary in the industry or technically unavoidable do not give rise to any right to complaint.
c. In the event of a justified complaint, Layered Goods BV has the right to choose between credit, repair or replacement within 30 days of receipt of the return.

The buyer cannot claim compensation for failure to deliver (on time or correctly), unless there is intent or gross negligence on the part of the seller.


5. Payment

a. Payment must be made to an account specified by Layered Goods BV.
b. Payments are first allocated to the oldest outstanding invoices.
c. The date of payment is the date on which the amount is credited to the seller's account.
d. If the payment term is exceeded, the buyer is automatically in default, without the need for notice of default.
e. In that case, the buyer owes a default interest of 1.5% per month.
f. All costs for collection, both judicial and extrajudicial, are for the account of the buyer. The extrajudicial costs amount to 15% of the principal sum, with a minimum of €350.00.

In the event of late payment or reduced creditworthiness, the Seller reserves the right:

  • to suspend delivery;

  • to demand payment in advance;

  • to cancel the contract in whole or in part.


6. Retention of title

All delivered goods remain the property of Layered Goods BV until full payment of all outstanding invoices has been made. As long as full payment has not been made, the buyer is not entitled to transfer the goods to third parties, pledge them or place them on consignment. The seller is entitled to take back the goods. In that case, the buyer will be credited for the market value at the time of taking back.


7. Force Majeure

Layered Goods BV is not liable for non-fulfilment of obligations in the event of force majeure. Force majeure includes, but is not limited to: war, unrest, strike, government measures, fire, disruptions in transport or production, lack of raw materials or energy, or failure of suppliers.


8. Data protection (GDPR)

Layered Goods BV processes personal data exclusively in the context of the execution of agreements with business customers. Data is not provided to third parties, unless necessary for the execution of the agreement or legally required. Buyer has the right to inspect, correct or delete his data in accordance with the applicable privacy legislation.


9. Termination of cooperation

Layered Goods BV reserves the right to terminate cooperation with a buyer in case of non-payment, repeated complaints, abuse of conditions or other serious reasons. Any outstanding obligations remain in full force.
